| ARTICLE 1: ORGANIZATION |
| The organization shall be called "Abek Community Development
Program" ("ACDP") or the "Organization". |
| |
| ARTICLE II: PURPOSE |
| Section 1: Mission
Statement |
To achieve and enhance the unity of Abek Community
practices, to provide education, medical needs, and to promote
positive standard of living in the Abek Community.

| Section 2: Limitations
|
ACDP is organized and shall be operated exclusively
for purposes described in Section 501 (c) (3) of the U.S Internal
Revenue Code of 1986, as amended.

| ARTICLE III: CORPORATE SEAL, OFFICES |
| Section1: Corporate
Seal |
If the Executive Committee adopts a corporate seal,
such a seal will have inscribed thereto the name of the corporation
and the date of its incorporation. If and when a seal is adopted
by the Executive Committee, such a seal may be engraved, requested,
printed, stamped, impressed upon or attached to any contact,
delivery, or other instrument executive by the organization.

| Section 2:Offices |
The principal office for the transaction of the business
of Abek Community Development Program will be at a location
designated by the Executive Committee and may also have offices
at such places within or without partners of the Abek Community
as Executive Committee may from time to establish.

| ARTICLE IV: MEMBERSHIP |
| Section 1: Eligibility
|
All individuals and organizations whose purposes and
functions are compatible with the mission of ACDP are eligible
for membership.
|
| Section 2: Organization
Representation |
In any voting instances a person designated by agency
will represent each member organization at Abek Community Development
Program.
|
| Section 3: Dues
|
Each member is responsible for such fees as determined
by the ACDP Executive Committee.
|
| Section4: Rights |
The right of the membership shall include, but are
not limited to, the right select the Executive Committee, the
right to participate in leadership processes according to term
of the bylaw, and the right to obtain information about all
the activities and operations of ACDP.

| Section 5: Responsibilities |
The responsibilities of the membership shall include,
but are not be limited to, the responsibilities to assist in
the functions and activities of ACDP, the responsibilities to
support ACDP in its accomplishing its mission, and attendance
at 85% of the regular member meeting in each calendar year.

| Section 6: Meetings |
Regular meetings of the Members will be held from
time to time for the purpose of fulfilling the mission statement.
Such meeting will be held at the dates determined by the Executive
Committee at its annual meeting. Attendance is open to all members.
An annual meeting of the members will be held for the purpose
of electing an Executive Committee and considering other business
as needed. An annual meeting may be combined with a regular
meeting so long as the time of the meeting is scheduled at different
hours. An annual meeting date and place will be established
by the Executive Committee. Special meetings may be called at
any time and must be approved by the Executive Committee.

| ARTICLE V: NOMINATING COMMITTEE |
| Section 1: Composition |
The Nominating Committee shall be composing of up
to five (5) members of the current Executive Committee. The
Executive Committee will appoint these five members not less
than two months prior to the date of the annual meeting.

| Section 2: Duties
|
The Nominating Committee elects a chair from its members.
The Nominating Committee will select nominees for the Executive
Committee from the membership of ACDP. The Nominating Committee
composes a slate and presents the slate of the nominees to the
ACDP membership prior to the day of election.

| ARTICLE VI: EXECTIVE COMMITTEE |
| Section 1: Membership
and number |
Membership on the Executive Committee is open to the
representatives of the member organizations who comply with
the provisions of Sections 4 and 5 of Article IV. The Executive
Committee will be elected at the annual meeting of the membership.
The Executive Committee shall be composed of not less than eleven
(11) and no more than sixteen members, and include the women
representative. All members of the Executive Committee will
be elected from Abek Community.

| Section 2: Length
of Office |
All Executive Committee members will serve for two-year
term and are eligible to run again if they wish to continue
to serve the ACDP. Executive Committee will determine the initial
election terms. Executive Committee members may be removed if
the member or their designated representative fails to attend
Executive Committee meeting or conference calls.

| Section 3: Vacancies
|
Elected alternates or voluntary members may fill any
vacancy occurring on the Executive Committee, if so designated
before a majority vote of Executive Committee.

| Section 4: Responsibilities
|
The Executive Committee will function as the Board
of Directors of ACDP. The powers and responsibilities of Executive
Committee shall include but are not limit: establishment of
membership dues and fees for service, supervision of the overall
organization, planning and evaluation of the activities, election
of officers, representation of member's interest to the public,
other organizations, agencies and governmental bodies, fill
vacancies on the Executive Committee are expected to attend
all Executive Committee meetings and may be remove after missing
two consecutive meeting.

| Section 5: Annual
Meeting |
An annual meeting of the Executive Committee will
be held for the purpose of electing the officers and considering
other business as needed. The meeting date and place will be
established by the Executive Committee and will be held within
(30) days of the annual meeting of the membership.

| Section 6: Regular
Meetings |
A special meeting of the Executive Committee may be
called at any time by the Chairperson of the Executive Committee
or by any two current members of the Executive Committee. Any
call for such special meeting shall be in writing and delivered
to all Executive Committee members not less than five (5) days
prior to the date of the meeting. Such notice shall specify
the place and time of the meeting as well as the items propose
to be considered at such meeting.

| Section 7: Quorum |
A quorum of at least five (5) members of the Executive
Committee is needed for voting on matters to be considered at
any Executive meeting. The affirmative vote of a majority of
Executive Committee members who are present at a meeting at
which at least a quorum is present shall be required to approve
any matter to be decided or approved by Executive Committee.

| ARTICLE VII: OFFICERS |
| Section 1:
Number and Elections |
The Executive Committee of the Abek Community Development
Program will elect the officers of the Executive Committee.
No person may hold than one office at one time.
|
| Section 2:
Terms of Officers |
No person may hold the same office for more than four
consecutive two-year terms without running for office again
after the four terms have expired. However, a person may hold
different offices for more than a total of four consecutive
terms.

| Section 3: Vacancies |
Vacancies in any office will be filled by majority
vote of the Executive Committee at the first meeting occurring
after the vacancy.

| Section 4: Duties
of President |
The President will be the chief executive officer
of the organization. The President will be responsible for managing
the operations of the organization and overseeing the work of
the officers. The President will be authorized to sign agreements
and contracts on behalf of ACDP but the Executive Committee
must approve any agreement entered into. The President will
perform such other duties as the Bylaw or the Executive Committee
may prescribe.

| Section 5:
Duties of Vice President |
The Vice President will carry out the responsibilities
of the President in the absence of the President. The Vice President
shall also assist the President in such manner as the President
directs and shall perform such other duties as the bylaws or
Executive Committee shall prescribe.

| Section 6: Duties
of Chairperson of the Executive Committee |
The Chairperson of the Executive Committee will preside
the meeting of the Executive Committee and will coordinate the
work of the officers and the Executive Committee. The Chairperson
of the Executive Committee will also have the authority to sign
agreements and contracts on behalf of ACDP, but the Executive
Committee must approve any agreement and contract entered into.
The Chairperson will also perform other duties as the bylaws
or Executive Committee may prescribe.

| Section 7: Duties
of Vice Chairperson |
The Vice-chairperson: will assist the Chairperson
of the Executive Committee and the duties of the Chairperson
in the absence or inability of Chairperson to serve. The Vice-chairperson
will oversee the work of any Committee that is formed to carry
out the purposes of ACDP. The Vice-chairperson will also perform
other duties as the Bylaws and Executive Committee may prescribe.

| Section 8: Duties
of the Secretary and Deputy Secretary |
The Secretary will keep the minutes of all ACDP meetings
and distribute these minutes. Minutes of the meeting of the
membership will be distributed to the membership and minutes
of the meeting of Executive Committee will be distributed to
Executive Committee members. The Secretary will also distribute
agendas prior to the meetings. The Secretary will maintain all
the records of ACDP, except for financial records. The Secretary
will maintain membership lists with all records. The Secretary
will also control the meetings when the meeting is taking place.
Deputy Secretary will perform all the above duties in absence
of the Secretary. The Deputy Secretary will assist the Secretary
in everyday duties. The Secretary and Deputy Secretary shall
also perform such other duties as the Bylaws or Executive Committee
may prescribe.

| Section 9: Duties
of the Treasurer and Deputy Treasurer |
The will pay bills and collect fees. The Treasurer
will also keep the financial records of the ACDP. The Treasurer
will make an annual report for the Executive Committee. The
Treasurer will also perform such other duties as the Bylaws
or Executive Committee may prescribe. The Deputy Treasurer will
perform all the above duties in absence of the Treasurer. The
Deputy Treasurer will also help the Treasurer in everyday duties.

| Section 10:
Duties of Information Officers |
The Information Officers will notify members of all
meeting and other issues related to information. They will also
receive all faxed, mailed, and telephoned voted and provide
them at the meeting. They will also perform such other duties
as the Bylaws or Executive Committee may prescribe.

| ARTCLE VIII: NONDISCRIMINATION |
| It is a policy of the organization to provide equal membership,
employment, and service opportunities to all eligible persons
without regard to race, religion, creed, color, national, age,
sex, origin, parental status, handicapping condition, or membership
in any organization. |

| ARTICLE IX: AMENDEMENTS TO THE BYLAWS
|
| Amendment to the Bylaws shall be proposed by the members of
Executive Committee by notice in writing to all members of the
Executive Committee at least thirty days prior to the meeting
at which the amendments are to be acted upon. To become effective,
a quorum of the Executive Committee members present at the meeting
must approve the proposed amendments. |

| ARTICLE X: LIMITATIONS |
| No part of the financial and net earning of the Abek Community
Development Program shall insure to the benefit of, or be distribute
to its members or officers of the Executive Committee, or other
private person, except that the Organization shall be authorized
and empowered to pay reasonable compensation for the service rendered
and to make payments and distributions in furtherance of the purposes
set forth in the Section of these Bylaws. |

| ARTICLE XI: DISSOLUTION |
| Upon dissolution of the Organization and after payment or provision
for of all the liabilities of the Organization, Abek Community
Development Program shall dispose of all assets of Organization
exclusively for the purpose of the Organization. Any asset not
so disposed of shall be disposed by the court of competent jurisdiction
in the county in which the principal office of the Organization
is then located. |
